Terms of Service

Welcome to Reply Flow. These Terms of Service ("Terms") form a binding agreement between you and Automate Anything LLC, doing business as Reply Flow ("Reply Flow", "we", "us", or "our"), and govern your access to and use of the Reply Flow website, application, and related services (collectively, the "Service"). By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation.
1. The Service
Reply Flow is a shared inbox that lets teams and AI agents handle customer messages across WhatsApp, email, and other connected channels. Features and limits depend on the plan you subscribe to and may evolve over time.
2. Eligibility and accounts
You must be at least 16 years old to use the Service and must provide accurate registration information. You are responsible for keeping your login credentials secure and for all activity that happens under your account. Notify us immediately at [email protected] if you believe your account has been compromised.
3. Connected accounts and third-party services
The Service is designed to work with third-party platforms such as Gmail, WhatsApp (through Whapi), Slack, Shopify, WooCommerce, Airtable, Google Sheets, and Stripe. When you connect a third-party account, you authorise Reply Flow to access and process the data described in our Privacy Policy on your behalf. You remain responsible for complying with the terms of those third-party platforms, and we are not responsible for the availability, accuracy, or behaviour of any third-party service.
4. Plans, trials, and billing
- Free trial. New workspaces receive a 7-day free trial with a usage allowance of 100 AI-generated messages. You select a plan and provide payment details to start the trial; you are not charged until the trial ends, and you may cancel before then at no cost.
- Subscriptions. Paid plans renew automatically on a monthly or annual basis until you cancel. You authorise Reply Flow and our payment processor (Stripe) to charge your payment method for each renewal.
- Usage and overages. Each plan includes a monthly message allowance. Usage above the allowance is billed at the per-message overage rate shown on your plan. Workspaces may opt in to automatic top-ups; you can disable this at any time in billing settings.
- Taxes. Fees are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes other than Reply Flow's income taxes.
- Refunds. Subscription fees are non-refundable except where required by law. If you cancel, your subscription remains active until the end of the current billing period and will not renew. We will refund duplicate or clearly erroneous charges on request.
- Past-due accounts. If a payment fails, your subscription enters a grace period during which we may suspend access to paid features. Workspaces left unpaid after the grace period may be suspended or downgraded.
- Price changes. We may change pricing on at least 30 days' notice. Price changes do not apply to the current paid term.
5. Acceptable use
You agree not to use the Service to:
- Send spam, unsolicited bulk messages, or content that violates the policies of WhatsApp, Gmail, or any other connected platform.
- Send unlawful, fraudulent, deceptive, defamatory, harassing, hateful, or sexually explicit content involving minors.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Infringe the intellectual property, privacy, or other rights of any third party.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as expressly permitted by law.
- Probe, scan, or test the vulnerability of the Service, breach security or authentication measures, or interfere with other users' use of the Service.
- Use the Service to build a competing product or to scrape its content for commercial purposes.
- Use the Service in a way that violates applicable law, including data-protection, telecommunications, or anti-spam laws.
We may suspend or terminate accounts that violate these rules, and in serious cases we may report violations to the affected platform (e.g. WhatsApp, Google).
6. Your content
"Your Content" means messages, contacts, AI agent configurations, knowledge sources, files, and any other material you submit to the Service or that arrives in the Service through a connected account. You retain ownership of Your Content. You grant Reply Flow a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, and process Your Content solely to operate, maintain, secure, and improve the Service for you. We do not use Your Content to train generalised AI models. Section 4 of our Privacy Policy describes how Google user data is handled in accordance with the Limited Use requirements of the Google API Services User Data Policy.
7. AI features
Reply Flow uses third-party AI providers (currently Anthropic and OpenAI) to power features such as auto-replies, classification, and search. AI output is generated automatically and may be incorrect, incomplete, or inappropriate for a given situation. You are responsible for reviewing and approving AI-generated content where appropriate and for any messages sent through your connected accounts, whether sent by a human teammate or by an AI agent you configured. AI output is provided "as is" and does not constitute professional advice.
8. Intellectual property
Reply Flow, the Reply Flow name and logo, and the underlying software, designs, and documentation are owned by Reply Flow and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes during the term of your subscription. Nothing in these Terms grants you any rights in our trademarks or branding.
9. Feedback
If you send us suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback for any purpose, without obligation to you.
10. Confidentiality
Each party agrees to protect the confidentiality of non-public information disclosed by the other under these Terms. Confidential information may be used only to perform under these Terms and may be disclosed only to employees, contractors, and advisors with a need to know who are bound by similar confidentiality obligations.
11. Service availability and changes
We work to keep the Service available and reliable, but we do not guarantee uninterrupted operation. We may add, modify, or remove features at any time. Where a change materially reduces the functionality of a paid feature you depend on, we will give reasonable notice.
12. Suspension and termination
You may cancel your subscription at any time from billing settings or by emailing [email protected]. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates legal or operational risk for us or our other customers. After termination, you may export your data for a reasonable period; thereafter we will delete Your Content as described in our Privacy Policy.
13. Disclaimers
Except where prohibited by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not warrant that AI output, message routing, or third-party integrations will be error-free.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages. Reply Flow's aggregate liability for all claims arising out of or related to these Terms or the Service in any 12-month period will not exceed the greater of (a) the fees you paid to Reply Flow in that period, or (b) USD 100. Nothing in these Terms limits liability for fraud, gross negligence, or any other liability that cannot be excluded by law.
15. Indemnity
You will defend, indemnify, and hold Reply Flow harmless from any third-party claim, loss, or expense (including reasonable legal fees) arising from (a) Your Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your violation of any third-party rights, including the terms of any platform you connect to the Service.
16. Governing law and disputes
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law principles. The exclusive jurisdiction and venue for any dispute arising out of or related to these Terms or the Service will be the state and federal courts located in New York County, New York, and you and Reply Flow each consent to the personal jurisdiction of those courts. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual-property rights.
17. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the "Last updated" date above and, where appropriate, notify you by email or through the app. Your continued use of the Service after a change becomes effective constitutes acceptance of the updated Terms.
18. Miscellaneous
- Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and Reply Flow regarding the Service and supersede any prior agreement.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We may give notices by email to the address associated with your account or through the app. Notices to Reply Flow must be sent to [email protected].
